Board of Directors

Our highly experienced Board sets UGL’s overall strategy and corporate governance framework and monitors progress in meeting these objectives.

Our Annual General Meeting elects the members of the Board of Directors in staggered elections in which each nominee is separately voted on.  

The majority of seats on our Board are held by independent directors.

Kathryn (Kate) D Spargo (Chairman)

LLB (Honours), BA, FAICD

Independent: Yes.

Director since: October 2010. Elected as Chairman in October 2014.

Current directorships of other listed entities and dates of office:

Sonic Healthcare Limited (July 2010), Fletcher Building Limited (March 2012), Adairs Limited (May 2015) and Sigma Pharmaceuticals Limited (December 2015).

Director of CoInvest Ltd, SMEC Holdings Limited and The Geelong Football Club.

Skills, experience and expertise:
Kate Spargo has extensive business experience gained from advisory roles on strategic and governance issues following a career in legal practice in both the public and private sectors. Her experience as a director of both listed and unlisted companies over the last 17 years mainly in the finance, infrastructure, and professional services sectors, brings a general legal, commercial and governance focus to board considerations.

Member of the Health, Safety, Security & Environment Committee and the Remuneration & People Committee.

Ross Taylor

Bachelor of Engineering – Civil (1st Class Hons)

Independent: No.

Director since: November 2014.

Chairman of Bairo Pite Clinic, a not-for-profit organisation.

Skills, experience and expertise:
Ross Taylor has over 30 years of experience in the construction, engineering and real estate industries in Australia and internationally.

Prior to joining UGL, Ross held the position of Group CEO at Tenix, a privately held engineering and construction company delivering services in the gas, electricity, water, wastewater, heavy industrial and mining sectors across Australasia.

Before this, Ross held various senior roles during his 24 years at Lend Lease Corporation, most recently as the former Group Chief Operating Officer.

Guy M Cowan

Bachelor of Engineering (Hons) (University of Sussex, UK), Fellow of the Institute of Chartered Accountants in England and Wales

Independant:  Yes.

Term of office: Director since February 2009.

Santos Limited (May 2016).

Directorships of other listed entities over the past three years:
Coffey International Ltd (February 2012 to January 2016).

Chairman of Winson Group Pty Ltd and Queensland Sugar Limited. Director of Beak and Johnston Ltd.

Skills, experience and expertise:
Guy Cowan has worked for more than 23 years working in senior international financial strategy roles with the Royal Dutch Shell Group, ending his Shell career as Chief Financial Officer (CFO) of Shell Oil USA. He was then appointed as the CFO for the Fonterra Co-operative Group Limited. Prior to his Shell career he worked as a chartered accountant with PWC and KPMG.

Guy has been a professional director for the past eight years in oil & gas, engineering and agricultural companies both listed and unlisted.

Jane Harvey

B.Com, MBA, FCA, FAICD

Independent: Yes.

Director since: August 2015.

DUET Finance Ltd (August 2013) and IOOF Holdings (October 2005).

Directorships of other listed entities over the past three years:
David Jones Limited (Director from September 2012 to August 2014) and Medibank Private (Director from September 2007 to March 2014).

Other principal directorships and memberships:
Director of Colonial Foundation Trust and Orygen - The National Centre of Excellence in Youth Mental Health, as well as a council member of the Australian Institute of Company Directors (VIC) and a member of the ASIC NED Advisory Panel.

Skills, experience and expertise:
Jane Harvey is an experienced non-executive director and audit committee chair with 15 years of experience in listed and not-for-profit organisations. Jane has extensive commercial and financial skills, applied in a range of line management and advisory roles across various industries including utilities, energy infrastructure, transport and logistics, financial services and retail.

Jane was formerly a Partner at PricewaterhouseCoopers until 2002.

Robert Kaye SC

SC LLB (Syd), LLM (Cambridge) (Hons)

Independent: Yes.

Director since:
August 2015.

Collins Foods (October 2014), Spicers Limited (September 2012) and Magontec Limited (July 2013).

Director of Macular Disease Foundation Australia.

Skills, experience and expertise:
Robert Kaye SC has over 35 years of experience in legal practice and is a barrister at law. Since his appointment as Senior Counsel, he has provided advice to both public and private corporations across a range of commercial matters including transactions, corporate and property. He has significant mediation experience and has participated in the successful resolution of complex commercial disputes. He previously served on a number of NSW Bar Association committees including the Professional Conduct and Equal Opportunity Committees.
